These Terms and Conditions ("Terms") govern your access to and use of the Plivonex SaaS ERP and POS platform ("the Service"). Plivonex is a registered brand owned and operated entirely by Ragu Farm (PVT) LTD ("Company," "we," "us," or "our").

By registering for an account or using the Service, you ("Subscriber," "you," or "your") agree to be bound by these Terms.

1. Provision of Service

1.1 Access: Subject to your compliance with these Terms and payment of applicable fees, Ragu Farm (PVT) LTD grants you a limited, non-exclusive, non-transferable, and revocable license to access and use Plivonex solely for your internal business operations.

1.2 Multi-Tenant Architecture: You acknowledge that Plivonex is a multi-tenant cloud-based platform. While your data is logically separated and secured, the underlying infrastructure and software are shared among multiple subscribers.

1.3 Billing Units: Subscription and add-on pricing are calculated on a per-branch basis. You are required to maintain a valid subscription for each physical or logical branch location registered within the system.

2. SMS Gateway Service

2.1 SMS Provisioning: Plivonex provides an integrated SMS Gateway service for transactional and promotional messaging.

2.2 SMS Credits: Use of the SMS Gateway requires the purchase of SMS credits. These credits are separate from your base ERP/POS subscription.

2.3 Usage Responsibility: You are solely responsible for the content of the messages sent through your account and must comply with local telecommunication regulations and anti-spam laws in Sri Lanka.

2.4 SMS Acceptable Use Policy: Your use of the SMS Gateway is strictly subject to our dedicated SMS Acceptable Use Policy https://plivonex.com/sms-gateway-policy, which further outlines prohibited content, spam prevention measures, and sender ID guidelines.

3. Subscription Fees, Trials, and Payment Terms

3.1 Free Trial: You may register for and use a free trial of Plivonex without providing any credit card or payment information.

3.2 Card Tokenization & Authorization: Upon your first payment for a premium subscription, your credit or debit card information will be securely tokenized and stored by our payment gateway. By entering your payment details, you explicitly authorize Ragu Farm (PVT) LTD to retain this tokenized data and automatically charge your card for all future recurring subscription fees and purchased add-ons.

3.3 Auto-Renewal Schedule: To ensure uninterrupted access, all recurring payments (monthly or annual) will be automatically processed five (5) days prior to your official subscription due date.

3.4 Upgrades and Prorated Billing: If you upgrade your subscription tier or add new branches/add-ons mid-cycle, a prorated charge will be applied. This covers the cost difference between your old and new plan for the remainder of the current billing period.

3.5 Pricing Flexibility: Ragu Farm (PVT) LTD reserves the right to change the pricing for any subscription plans, branch add-ons, or SMS credits at any time. Changes will apply to your next billing cycle following a minimum of 30 days' notice.

4. Suspension and Late Fees

4.1 Immediate Suspension: If full payment is not successfully processed by your exact subscription due date, your access to the Plivonex Service (across all branches) will be immediately suspended.

4.2 Late Payment Penalty: In the event of a service suspension due to payment overdue, a late payment fee of 10% will be applied to the total outstanding balance of the ERP solution subscription and any active add-on pricing.

4.3 Restoration of Service: Service will only be restored once the original balance plus the 10% late fee is settled in full.

5. Cancellation and Refund Policy

5.1 Cancellation: You may cancel your subscription at any time through your account settings. Cancellation stops the next auto-renewal, and you will retain access until the end of your current paid period.

5.2 Non-Refundable Policy: All payments, including subscription fees, add-on fees, and SMS credit purchases, are strictly non-refundable. No prorated refunds are provided for mid-cycle cancellations.

6. Intellectual Property

All rights, title, and interest in and to the Plivonex brand, software, user interface, and underlying technology remain the exclusive property of Ragu Farm (PVT) LTD.

7. Limitation of Liability

Ragu Farm (PVT) LTD shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or business interruption, resulting from your use of the Service or the SMS Gateway.

8. Governing Law

These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes are subject to the exclusive jurisdiction of the courts in Sri Lanka.
